Company acquisition according to script: A second mainstay for the manufacturer of high-quality stage sets.

The mission

hertzer GmbH designs and produces scenographic constructions, such as stage sets for theaters. Production takes place in the company’s own workshop in Berlin-Pankow. In order to improve the utilization of the premises and establish a second foothold in the market, another company that produces soundproof boxes was to be acquired for the site. Arntz & Beckmann took charge of the takeover process, including price determination and profitability analysis.

The process

At first, we prepared a valuation for the company to be acquired. We then continued the process with corporate planning, considering the acquisition and integration to determine the debt service capacity. A term sheet with important key points for the transition was jointly prepared as a template for the purchase agreement. A business plan for the upcoming investment and important controlling tools for the integration were drawn up for hertzer GmbH.

The result

The company acquisition was successfully implemented. The integration of the new company and its employees into hertzer GmbH proved complex, but was resolved step by step. Today, both companies have successfully found a stage. The successful takeover project resulted in a long-term collaboration covering the topics of strategic planning, current challenges and controlling.
